Because if he opts in then he has to stay. From what I understand he will opt out, let Pat Riley form a roster, then make his decision if the team is good enough or not. By opting out it puts pressure on Riley to get the players and puts pressure on the owner to spend money (which ticked him off when he cut Miller in order to save 17 million). Lebron WILL opt out, im very certain of it.
More suitors for him in 2015. If he opts out and signs a one year deal, then he is only tied up for next season. After next season, he can sit back and decide where to go for a long term deal. The only good thing going for Miami right now is that no team is a real suitor for him. He probably won't want to leave the East and there are no teams in the East with room. Next year will be a whole nother story. He should have plenty of options.

Another reason he wont opt in is because they want him to take less to. I think he will take less if it means adding another guy, but again this all null if Wade opts in.

Yeah I'm really confused contract wise with the whole opt in deal. I think he could easily opt in and have fun in 2015 free agency. Wade would become an expiring contract too.

Because they took Max deals while Lebron took I believe 15 million. The Heat back in 2010 could not hand out 3 max contracts, they didnt have enough so Lebron took less money.
It's not about max dollars, it's about trying to win another championship. He took less to go to Miami for a reason. He'll stay, or go somewhere else, for the same reason. The Heat want Lebron to drop down to 12 million, its not really about the money for Lebron. That 4 million he is missing will be worth losing if he can win more championships and strengthen his brand as a winner. I dont really follow the whole business side but I would be willing to bet that more "Lebron" shoes were sold last summer than what will be sold this summer. (Hes under contract with Nike regardless but the more his stuff sells, the more power he will have come the next contract)
I understand that but LeBron James is a business man. He took a significant pay cut back in 2010 when he wasn't the man he is today. He has two rings now and multiple MVP's. He has solidified his name in arguments with Michael Jordan, yet he is living with $10+ million less per year? I get it, he wants his championships. But when a team like Houston offers you a blockbuster deal, you gotta take it.

I just read in 2012 ALONE Nike made $300 million off of Lebrons shoes. IDK when his next deal is with Nike but if he commands even 10% of that, he is looking at $30 million a year just from Nike.
